Delaware wants companies with “no human at the helm

“Delaware is about to let a company have no human CEO — and maybe no human to sue.”

The Story

A Delaware draft would create an “Artificial Intelligence Company” whose day-to-day manager is an AI agent that can hold property, sue, be sued, and run almost any lawful business except banking. The human member is largely shielded from the agent’s acts. Rep. James Comer told Gov. Matt Meyer the structure would let owners dodge liability for reckless AI, and asked for records.

Why It Matters

The legal home of American corporations is drafting a boss that isn’t a person. This is institutions + money + identity, not agent hype.
